英国 FCA 9 月 16 日发布最终 cryptoasset perimeter guidance，给未来 UK crypto regime 划出了目前最清晰的监管边界。
虽然新制度要到 2027 年 10 月 25 日才正式生效，但企业的实际准备时间已经开始，因为 authorisation gateway 会在 2026 年 9 月 30 日开放。
三个关键日期
- 2026/9/30： authorisation application window 开放；
- 2027/2/28：希望使用 transitional arrangements 的企业申请窗口截止；
- 2027/10/25：新 cryptoasset regulatory regime 正式生效。
哪些业务可能进入 Scope？
FCA 明确列出的典型活动包括：
- issuing qualifying stablecoins；
- operating cryptoasset trading platforms；
- dealing in cryptoassets；
- arranging cryptoasset deals；
- safeguarding cryptoassets；
- arranging cryptoasset staking。
具体是否需要 authorisation，仍取决于 business model、legal entity、customer location 与 exclusions。
现有 Registration 不会自动升级
这是这次 Guidance 最重要的实务点之一。
已经拥有 MLR registration 的 crypto company，不会自动获得未来 regime 下的 regulated-activity permission。
已经是 FCA authorised 的传统金融机构，如果增加新 regulated crypto activities，也可能需要 variation of permission。
海外公司也不能默认排除
FCA 明确把向 UK consumers 提供 crypto services 的 overseas firms 列为 Guidance 适用对象之一。
因此“总部不在英国”并不能自动排除 UK authorisation risk。
Stablecoin、Staking 与 Custody
Qualifying Stablecoins
发行 qualifying stablecoin 可能成为 regulated activity，需要与 e-money/payment structure 和 overseas-issued stablecoin 分开判断。
Staking
arranging cryptoasset staking 可能进入监管范围。企业必须判断自己只是技术提供商，还是实质安排 regulated staking service。
Safeguarding
Custody / safeguarding 已明确进入未来监管 perimeter。Wallet architecture、private-key control、legal ownership 与 third-party custodian 都会影响分析。
10 月还会继续调整
FCA 表示，政府已经对 underlying regulations 做 targeted changes，因此 10 月还会继续 consultation，重点包括：
- UK qualifying stablecoins；
- proprietary trading / market making；
- technology providers；
- decentralised protocols；
- 部分 safeguarding arrangements；
- financial promotions。
所以 9 月 16 日并不是 2027 regime 前最后一次 perimeter update。
